Terms of Service

These Terms of Service (these "Terms") constitute a legally binding agreement between you and Virtugenic LLC, a Tennessee limited liability company ("SidedWith," "we," "us," or "our"), governing your access to and use of the SidedWith mobile application, the SidedWith.com website, and all related services (collectively, the "Service"). PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER IN SECTION 15.

BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICE.

1. Eligibility

You must be at least eighteen (18) years of age to use the Service. By accessing or using the Service, you represent and warrant that (a) you are at least eighteen years of age, (b) you have the legal capacity to enter into a binding contract, and (c) you are not barred from using the Service under applicable law.

2. The Service

SidedWith is a social judgment platform on which users may post personal situations or conflicts ("Situations") for the community to vote on and discuss. After a fixed period (typically twenty-four hours), each Situation closes and an artificial intelligence system may generate commentary on the closed Situation (the "AI's Take"). The Service is intended for entertainment, social commentary, and informal discussion purposes only.

3. No Professional Advice

THE SERVICE DOES NOT PROVIDE LEGAL, MEDICAL, PSYCHOLOGICAL, FINANCIAL, OR ANY OTHER FORM OF PROFESSIONAL ADVICE. Community votes, comments, and AI-generated commentary on the Service represent opinions only. They are not, and should not be construed as, a substitute for advice from a qualified professional. You should not rely on any content within the Service to make decisions affecting your health, safety, legal rights, financial position, or wellbeing. If you have a question of a legal, medical, psychological, financial, or other professional nature, consult a qualified professional.

4. Account Registration

To access certain features, you must register an account. You agree to (a) provide accurate, current, and complete information; (b) maintain the security of your credentials; (c) promptly notify us of any unauthorized access; and (d) accept responsibility for all activity that occurs under your account. We may suspend or terminate accounts that violate these Terms.

5. User-Generated Content

You retain ownership of the content you submit to the Service (your "Content"). By submitting Content, you grant SidedWith a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, create derivative works of, communicate, publish, publicly perform, publicly display, and distribute your Content in connection with operating, promoting, and improving the Service. This license persists with respect to copies of your Content that have been shared or redistributed prior to deletion.

You represent and warrant that (a) you own or have the necessary rights to submit your Content; (b) your Content does not infringe any third-party rights; and (c) your Content complies with these Terms and applicable law.

You acknowledge that Situations you post may be submitted to a third-party artificial intelligence provider for the generation of AI's Take and that you waive any claim against SidedWith arising from such submission, provided we act consistent with our Privacy Policy.

The Service is not a crisis service. If you are experiencing a mental health emergency, are considering self-harm, or are in immediate danger, contact the 988 Suicide & Crisis Lifeline (call or text 988 in the United States) or your local emergency services. The Service includes automated detection that may block submissions appearing to involve self-harm and present crisis resources in lieu of publishing such submissions.

8. Moderation and Enforcement

We reserve the right, but not the obligation, to monitor, review, screen, edit, remove, or refuse any Content, and to suspend or terminate any account, at our sole discretion, with or without notice. We provide reporting and blocking tools and aim to review reported Content within a reasonable time. We are not responsible for the actions, omissions, or Content of any user.

9. Anonymous Posting

The Service permits anonymous posting. Anonymity as displayed to other users does not extend to SidedWith's internal records, which retain the account identifier associated with each post for moderation, abuse prevention, legal compliance, and premium feature operation. Anonymity does not exempt you from these Terms or from liability for Content you submit.

10. AI-Generated Content

AI's Take is generated by an automated system, may be inaccurate, biased, incomplete, or otherwise objectionable, and does not represent the views of SidedWith. AI's Take is provided for entertainment and informational purposes only and does not constitute advice of any kind. You shall not represent AI's Take as having been authored by SidedWith's officers, employees, or contractors. SidedWith disclaims all liability arising from your reliance on AI's Take.

11. Intellectual Property

The Service, including all software, designs, text, graphics, trademarks, and other materials (excluding User Content), is owned by SidedWith or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. All rights not expressly granted are reserved.

12. Termination

You may terminate your account at any time through the in-app account deletion feature or by contacting support@sidedwith.com. We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, Sections 3, 5, 10, 11, 13, 14, 15, and 16 shall survive.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS, AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIDEDWITH DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION. SIDEDWITH DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT ANY CONTENT WILL BE ACCURATE OR RELIABLE, OR THAT ANY ERRORS WILL BE CORRECTED.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SIDEDWITH, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, EMOTIONAL DISTRESS, OR ANY OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF SIDEDWITH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL SIDEDWITH'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US$100) OR (B) THE AMOUNTS YOU HAVE PAID SIDEDWITH IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

15. Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

15.1 Agreement to Arbitrate. You and SidedWith agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") shall be resolved exclusively through final and binding individual arbitration, rather than in court, except that you may assert claims in small-claims court if your claims qualify.

15.2 Arbitration Rules. The arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator. The arbitration shall take place in Wilmington, Delaware, or, at your election, by videoconference or telephone, or in your county of residence if you reside in the United States.

15.3 Class Action Waiver. YOU AND SIDEDWITH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

15.4 Opt-Out. You may opt out of this Section 15 by sending written notice of your decision to opt out to support@sidedwith.com with the subject line "Arbitration Opt-Out," within thirty (30) days of first accepting these Terms. The notice must include your full legal name and a clear statement of your intent to opt out.

15.5 Survival. This Section 15 shall survive termination of these Terms.

16. Indemnification

You agree to defend, indemnify, and hold harmless SidedWith, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to (a) your access to or use of the Service; (b) your Content; (c) your violation of these Terms; or (d) your violation of any third-party right.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles. Subject to Section 15, the state and federal courts located in Wilmington, Delaware shall have exclusive jurisdiction over any matter not subject to arbitration.

18. Changes to These Terms

We may modify these Terms from time to time. We will post the modified Terms on this page and update the "Effective" date above. Material changes will additionally be communicated through the Service or by email. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms.

19. Miscellaneous

19.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and SidedWith with respect to the Service.

19.2 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19.3 No Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

19.4 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms freely.

19.5 Apple App Store Additional Terms. If you access the Service via an Apple device, you acknowledge that these Terms are between you and SidedWith, not Apple Inc., and that Apple has no obligation whatsoever to furnish any maintenance or support with respect to the Service. Apple is a third-party beneficiary of these Terms and may enforce them against you.
